ARTICLE I
The name of the organization shall be The Elmore County Republicans (ECR).
ARTICLE II
DUTIES AND PURPOSES
Without limiting the foregoing, The ECR shall also have the following specific purposes and duties:
3.2 All members must reside and be registered to vote in Elmore County.
Associate members may reside outside Elmore County, but must also complete a membership application after attending three meetings.
ARTICLE IV
4.3 A quorum shall consist of 50% plus one (1) of the voting members of ECR prescribed in Section 3.1.
Proxy voting will not be recognized in any meetings.
ARTICLE V
5.1 At an organizational meeting following the November election, an election shall take place in which organizational officers shall stand for re-election. A nominating committee shall be established three(3) months prior to the election and present candidates at the last meeting prior to the November General Election. Any ECR member may nominate himself/herself or be nominated by another member for one of the elected officer positions at the same meeting.
5.2 The officers of the Committee shall be elected by the members who have been members (as defined in Article 3.1) for at least the previous meeting. The officers shall be elected at the first meeting following the November election during even-numbered calendar years. The officers shall serve for two (2) calendar years, or until such time as their successors are duly elected.
5.3 The officers of The Committee shall be:
President 1st Vice President 2nd Vice President Secretary Treasurer Sergeant at Arms
Any officer may be removed from office for violations of the spirit and intent of these by-laws, violations of the principles of the ERC, misconduct or non attendance at three consecutive meetings without due cause as judged by the President). Removal will be by a vote of two-thirds (2/3) of those present and voting at any meeting at which a quorum has been established.
ARTICLE VI
6.2 In addition, any regular member may be removed by vote of two-thirds (2/3) of those present and voting at a meeting at which a quorum has been established.
ARTICLE VII
7.1 Standing Committees shall be established as deemed applicable and necessary.
