ARTICLE I


NAME

 

                 The name of the organization shall be The Elmore County Republicans (ECR).

 

ARTICLE II

 

DUTIES AND PURPOSES

 
2.1    The ECR shall perform all functions and duties allowed by the laws of the State of Alabama relative to private organizations in the said state.

 

Without limiting the foregoing, The ECR shall also have the following specific purposes and duties:
 
A.  To build and promote the Elmore County Republicans, and to maintain an effective and permanent organization within the county;


B.  To educate residents of the county on political issues;


C.  To participate in elective politics in Elmore County;


D.  To further the cause of limited government, personal responsibility, and individual liberty in Elmore County and Alabama;


E.  The ECR will sponsor periodic meetings that are open to the public.  The meetings will be called the Elmore County Republicans.  Programs will feature speakers, candidates, or topics of special interest;


ARTICLE III


MEMBERSHIP


3.1   The ECR shall place no limits on organizational membership.  Membership shall be granted to those persons who attend three meetings and complete the membership application.

 

3.2   All members must reside and be registered to vote in Elmore County. 

 

Associate members may reside outside Elmore County, but must also complete a membership application after attending three meetings.  

 

 

ARTICLE IV


MEETINGS


4.1   The Committee shall meet monthly at a time and place designated by the President.  Notice of the time and place of each such regular meeting shall be mailed (or e-mailed at the Member’s direction) by the Secretary to each member not less than seven (7) and not more than twenty (20) days prior to such meeting.
 
4.2   Special meetings may be called by the President or by one-fourth (1/4) of the members of The Committee upon forty-eight (48) hours written notice.
 

4.3   A quorum shall consist of 50% plus one (1) of the voting members of ECR prescribed in Section 3.1.

 

Proxy voting will not be recognized in any meetings.

 

ARTICLE V


OFFICERS

 

 5.1   At an organizational meeting following the November election, an election shall take place in which organizational officers shall stand for re-election.  A nominating committee shall be established three(3) months prior to the election and present candidates at the last meeting prior to the November General Election.  Any ECR member may nominate himself/herself or be nominated by another member for one of the elected officer positions at the same meeting.

 

5.2   The officers of the Committee shall be elected by the members who have been members (as defined in Article 3.1) for at least the previous meeting.   The officers shall be elected at the first meeting following the November election during even-numbered calendar years. The officers shall serve for two (2) calendar years, or until such time as their successors are duly elected.

 

5.3   The officers of The Committee shall be:

 

President

1st Vice President

2nd Vice President

Secretary

Treasurer

Sergeant at Arms

 

Any officer may be removed from office for violations of the spirit and intent of these by-laws, violations of the principles of the ERC, misconduct or non attendance at three consecutive meetings without due cause as judged by the President).  Removal will be by a vote of two-thirds (2/3) of those present and voting at any meeting at which a quorum has been established.

 

ARTICLE VI


REMOVAL OR DISCIPLINARY ACTION


 
6.1   Removal or disciplinary action against any ECR member will be in accordance with Robert’s Rules of Order, Newly Revised.

 

6.2   In addition, any regular member may be removed by vote of two-thirds (2/3) of those present and voting at a meeting at which a quorum has been established. 

 

ARTICLE VII


COMMITTEES

 

7.1   Standing Committees shall be established as deemed applicable and necessary.
 
7.2   The standing committee chairman shall be appointed by the President and shall serve a term not to exceed that of the President.

 

ARTICLE VIII


FISCAL


 
8.1   The Treasurer will maintain the operational checking account for ECR.
 
8.2    Expenditures from the organizational account must be approved my all officers.            

 

ARTICLE IX


PARLIAMENTARY AUTHORITY


 
The rules contained in the current edition of
Robert’s Rules of Order, Newly Revised shall govern the ECR in all applicable cases where they are not inconsistent with these by-laws and any special rules of order that are adopted.

ARTICLE X


AMENDMENT OF BY-LAWS

                                              
 Any portion of these by-laws may be amended or revised by a majority of members present in a meeting at which a quorum has been established; provided, however, that the amendment was submitted at the previous meeting or that a copy has been mailed to the membership of the ECR no later than fourteen (14) days prior to the meeting.
